Alhamdulillah,..

Selesai juga majlis pertunangan magis (Nuraini binti Roslan) dengan Muhd Syazwan bin Soffian Wong..=)..mari sejenak magis story ttg zaman perkenalan sume lah ye...ahahhaha~~

First kelibat nampak dekat Debat Alam Sekitar yg diadakan di USIM 2007 x silap..aku ikut kelab UiTM..da la aku mmg jenis excited bile bab2 masuk USIM, UIA ni..yelah,..persekitaran berbeza.. first aku keluar dr kereta dan foot step kt USIM, ingat lg, aku penah ckp dlm hati..'beruntung kalau dapat jodoh dr sini'..

Berjalan-jalanan dengan rakan dr kelab debat ke sekitar USIM, salah satu bilik debat yg kami masuk mmg USIM punyer perlawanan..dan seingat aku, mmg mase tu giliran pok borg (sorry dear,..hehe)..aku sempat tgk giliran pok borg dan faiz aziz je...abes je competition tu..balik gitu je...xde pape perasaan..

Then, one day, (30 hb 6 2008) masuk forum youthsays, nampak lak pic debat yg digunakan oleh nick debater (syazwan la tu..haha)..tergerak lak tanye tu pic debat alam sekitar ke? ..then si debater ni pun reply la..mule bertukar ym dan berchatingan..hahaha~~

First date (8 hb 8 2008 @ mid valley, cabut dr konvensyen hak asasi kanak-kanak)..haha, nebes la plak...cool aini, cool, walau die debater USIM, ko fac law student, jgn kalah katenye...hahaha..makan, jln2 dan balik..

Bercinta jarak USIM - UiTM (ahaha, nk jugak!)..one thing kami perasan, pointer kami semakin naik dlm musim2 cinta yg dilalui..alhamdulillah...

Then satu hari tu, sebelum si dia pergi melbourne, die melamar aku...dan sebaliknye dr melbourne, hari jumaat, nah! (terime sekeping gambar beg habib..weee..=) suprise)...

Atas persetujuan kedua-dua buah keluarga, sepakat bahawa, 13 hb Feb 2011 adalah tarikh sesuai utk rombongan merisik+meminang..

Bile fikir balik, mcm caye x caye je aku dah bertunang...hehe..=p...apepun, semoga Allah merahmati kami sentiasa dan memudahkan urusan utk membina masjid pula...amin...

Alhamdulillah!

That's the only word that can framed the feeling for completing my degree...another 4 month to complete my professional studies and walk on chambering path...excited...=)..

Though there are many more obstacle and challenges in the forefront, believe, there are actually basket of oppurtunities and chances to be plucked..

I pray the best future for my self, family and friends! Come on Legal, let it be a sweet path and we gonna be bestie!

Assalamualaikum,..

Ahlan wa sahlan,...lamenya magis x update blog ni ya..hampir setahun rasanya!..Maaf,..terlalu sibuk dgn kehidupan sebagai student LLB (tahun akhir,..lebih kuranh 4 bulan lagi!).
Pelbagai manis dan pahit yg dilalui..termasuklah permergian ibu, Allahyarham Norhayati (al-fatihah untuk beliau), pada aidilfitri yg ke-7...
Walaubagaimanapun, magis terharu apabila jiran2 kerap berpesan,..ibu berbangga dengan kami adik beradik dlm pelajaran...biar hidup susah,.namun semangat utk menggenggam segulung ijazah perlu diteruskan!...itulah amanatnya..(owh,..konvo degree daku adalah pd 27 November 2010 ni..=)

Oleh yg demikian,..adalah tanggungjwb seorang anak untuk memegang amanat yg dipesan sebaiknya..bersama rakan-rakan seperjuangan dr NURAINI ROSLAN & ASSOCIATES, marilah kite same2 menjulang name firm untuk sentiasa berada di prestasi yg terbaik!insyaallah!

When does the Insurer's liability to pay for the Insured's loss arise?

When risk/perils occurred within the policy wording in the insurance clause and is a proximate cause (see case Leyland Shipping Co Norwich Union Fire Insurance Society).

What meant by the term "loss"?

By referring to the case Holmes v. Payne, loss can be regarded as lost or mislaid. Lost is permanent thus can be regarded as a total missing whereas mislaid is being regarded when lost was taken in a reasonable lapse of time with diligent search effort (basically in mislaid case, the insured will found the subject-matter back).

State the doctrine on causation of a loss

Cusation deals with the doctrine of proximate causes. In the case of Becker, Gray & Co v London Assurance Corp, it define causation as active, efficeint cause that set in train of events, which bring result without any intervening act. In the case of Leyland Shipping Co, it was held that proximate causes can be regarded as real efficient cause.

How do courts determine the insured's right to claim for their loss when there are two or more real causes of the loss?

If both causes falls within the insurance policy wording, the insured is entitled to claim with both perils. But if only one cause is being covered in the insurance policy wording, then insured only entitled to claim for loss covered in the insurance clause.

What is meant by the term "prevention action"? What is the relevance to the doctrine?

In the case of Symington v Union Insurance Society of Canton, it can be seen that, prevention action is an action to avert the opertaion of the perils. In this case, it was held that, act of prevention action has no break in the chain of causation. In almost law book, the reason of the application of this doctrine is that, to recognize that although the real cause of loss was not covered under the policy, the peril insured against would be regarded as the proximate cause of loss where it is so imminent that preventive measures were necessary to avert it.

What is shares?

According to section 4 of Company Act (CA), shares can include stock unless distinction between them. The definition is quite vague, therefore a reference to the case law is needed. In the case of Boland Trustee, Farwell J had decided that, 'a share represent the interest of the shareholder in the company measured by a sum of money for the purpose of liability in the first place and of the interest in the second but also consisting of a series of mutual covenant entered into by all the shareholder inter se.

Meaning that, shares represent the interest of the company. Shares have monotery value ( money by their currency). Liability in the definition means risk (for the un-paid shares) i.e they willing to forgo the money if the bussiness collapse. Meanwhile interest basically means the dividend, whereas mutual covenant means they are bound by the article of association (AOA) and memorandum of association (MOA) together with resolution or special resolution by the company.

Differences between ordinary and preference shares.

(1) ordinary shares: S.4 of CA did not recognise ordinary shares, but only equity and preference shares. In law however, ordinary shares is being regarded as equity shares. Under this section, equity shares means any share which is not preferences shares. This shares also have rights to vote in general meeting with 1 vote for every class of shares. They also entitled for surplus asset and profit upon winding up. This type of shares entitled for an equal dividend if being declared ( S.65). Upon winding up, they have the right on return of capital after all other claimants has been repaid.

(2) Preference shares definition can be seen under S.4 of CA. It give some preference to the shareholder incomparison to the other shareholder. According to S.148(2), they have unlimited right to vote upon resolution on matters of payment of dividend, class rights and also rights upon winding up. Under S.4, they have no entitlement of surplus asset/profit but it is possible to confer the rights in the AOA. On part of return capital upon winding up, they have a priority than ordinary shares.

Definition of share capital

It can be regarded as money/asset contributed to the company by its members when they subscribe shares in the company (see case Solomon v Solomon, where Solomon sells his bussiness). S 18(1) stated that capital clause is a compulsory in the MOA as it signify company proposed to register and division into fix amount. In the case of Bank of Hindustan, China, Japan Ltd v Alison, it was held that any allotment of shares in excess of authorise shares capital is void.

Various types of shares capital

(1) nominal/aithorized shares capital- maximum of shares which company proposed to register.
(2) allotment shares capital- division of potential shareholder and ordinary/preference shareholders.
(3) uncalled shares capital- total number of shares that the company has not demand form its member.
(4) paid-up shares capital- actual amount of issue capital that have been paid.
(5) call-up shares capital- demand from company from its members to pay certain amount of their total shares from issued capital.
(6) issued shares capital- total number of shares company had issued.
(7) unpaid shares capital- difference between call-up and paid - up.
(8) reserve shares capital- sometimes uncalled capital may be reserved by a special resolution that it shall not be capable of being called up except for the purpose of winding up.

Rights of shareholders

Basically, these are the rights among person who have shares.
(1) right ti dividend.
(2) right to vote.
(3) right to return capital.
(4) liability to subscribe.
(5) rights of membership.

Various types of preference shares

(1) cumulative- carries foward their entitlement to a distribution from 1 year to 1 year if no dividend declared in the past year.
(2) non-cumulative- only entitled for specified rates of dividend of the current year where dividend declared and paid. The non-cumulative preference shareholder lost their entitlement for any dividend which is not paid.
(3) participating preference shares- the holder of such share is entitled to participate in the profit beyond the fixed dividend.
(4) reedemable preference shares- company may issue reedemable preference shares under S.61. It allows for repayment of capital at particular time and occurance of particular event prior to winding up of the company Reedemable preference shares represent an exception to the general principle that company cannot repay prior to winding up.

Sedikit bingkisan 2009, kenangan paling manis ialah apabila bertemu tautan hati sendiri, Mr. Debater, Mohd Syazwan bin Muhammad Soffian Wong. Dia banyak membantu magis dlm memberi sokongan moral yg tidak terhingga selain family magis. Thanks dear. We gonna run our life now and future togather with lots of happiness. InsyaAllah.

Permulaan 2010? hehe...magis sekarang final sem student utk B.l.s Uitm..gonna grade on dis Oct insyaAllah. Now, x pegang ape2 jawatan perwakilan, hanya student biase..hehe..so, magis wat part-time Skim Khidmat Pelajar (SKP) sebagai penyelia makmal komputer di kolej..wahh...gitue..dak undang2 terjun dunia IT..hehe.

Azam tahun ni, magis harap dpt wat L.l.b Uitm sekali dengan DIJAP Usim (Diploma Kehakiman dan Amalan Syariah). That's my big aim and goal.

Dan azam utk blog sendiri, magis akan cube utk wat compilation nota2 sem 6..seeking a good striving for final.Hehe..

Salam,. petang2 yg hening ni pulak, sedap pekene kuih bom ngan teh..;D

Bahan-bahan:

pisang emas
tepung gandum
soda bikarbonat
gula
air garam

Cara-cara:

Lenyekkan pisang. Kemudian, masukkan semua bahan. 1 kg tepung bersamaan 1 sudu soda bikarbonat. Biarkan gaulan td selama setengah jam. Bulatkan dgn sudu dan goreng. Siap..=)

nota: jika nk garing sket, mase masukkan sume bahan, campurkan minyak sedikit. nyum..nyum..
